Consulting Agreement
This Consulting Agreement (the “Agreement” or “Consulting Agreement”) states the terms and conditions that govern the contractual agreement between AcneandMe,the Consultant and the “Client” who agrees to be bound by this Agreement.
WHEREAS,the Consultant offers consulting services in relation to beauty and & skincare services.
WHEREAS,the Client desires to retain the services of the Consultant to render consulting services with regard to beauty and skincare services according to the terms and conditions herein.
NOW, THEREFORE, the Consultant and the Client (individually, each a “Party” and collectively, the “Parties”) covenant and agree as follows:
This Agreement shall begin after payment of consultation services fee and continue for a period of upto 4 weeks. Either Party may terminate this Agreement for any reason within 3 days written notice to the other Party.
2. Consulting Services
The Consultant agrees that he/she shall provide his/her expertise to the Client for all things pertaining to various skin concerns including but not limited to acne, pimples, dark spots, acne scars, melasma, signs of ageing and body acne.
3. Compensation.
In consideration for the Consulting Services, the Client shall pay the Consultant at the rate of Kshs.2,500 offered after the expiry of 4 weeks will be billed afresh at the rate of Ksh.1,500. for an additional 4 weeks.
The Consultant shall invoice the Client once every 4 weeks (where necessary and agreed by both parties) and such invoices shall be due and payable within 2 days of the client receiving the invoice.
4. Confidentiality.
The Consultant shall not disclose to any third party any details regarding the Client’s personal information, including, without limitation any information regarding any of the Client’s health status, skin concerns, or such other personal information without the clients consent. The consultant will only use such confidential information solely for the benefit of the Client.
5. Skincare Advice.
The authors of this Website are not, nor are they claiming to be doctors, nurses, or any other type of medical professional. The skincare advice offered is for informational purposes only and does not constitute medical advice and is not intended to be a substitute for professional medical advice, diagnosis, or treatment. 6. Third Party Endorsements.
References or links found on this Website to information, opinions, advice, programs, products or services of any other individual, business or entity does not constitute our formal endorsement. 9. Indemnification
The Client agrees to indemnify, defend, and protect the Consultant from and against all lawsuits and costs of every kind pertaining to the Client including reasonable legal fees due to any act or failure to act by the Client based upon the Consulting Services.
10.Personal Responsibility.
You acknowledge that you are participating voluntarily in using our Website and that you are solely and personally responsible for your choices, actions and results, now and in the future. You accept full responsibility for the consequences of your use, or non-use, of any information provided on or through this Website, and you agree to use your own judgment and due diligence before using any products, implementing any idea, suggestion or recommendation from our Website to your life.
You accept and understand that results differ for each individual. Each individual's results depend on his or her unique skin concern, products used, dedication to skincare routines, and numerous other factors. You fully agree that there are no guarantees as to the specific outcome or results that you can expect from using the information/advice given.
10. No Modification Unless in Writing.
No modification of this Agreement shall be valid unless in writing and agreed upon by both Parties.
